MEMBERSHIP AGREEMENT
1. Parties of Agreement
1.1. Sosyopix İnternet Hizmetleri Anonim Şirketi(will be mentioned as Sosyopix from now on) which is engaged in electronic commercial activities in Sosyopix mobile app and www.sosyopix.com website by taking orders and whose address is Esentepe mah. Muallim Sedat Bey sok. No:8, 34870, Kartal/İSTANBUL.
1.2. The User (will be mentioned as Member from now on) who wants to create an account in electronic mediums which belong to Sosyopix as stated above.
2. Subject of the Agreement
This agreement regulates how and under which conditions the Members will benefit from the Sosyopix mobile app and website.
3. Rights and Obligations of Parties
3.1. The Member accepts declares and undertakes that his/her personal data and other information which he/she gave while becoming a member via Sosyopix mobile app or www.sosyopix.com website is accurate and if not that he/she will compensate any loss or damages that Sosyopix has to bear caused by this inaccurate information.
3.2.The Member should not share of his/her account information that he/she created via Sosyopix mobile app or www.sosyopix.com website. Otherwise the Member will be responsible for any loss or damages to the Member himself/herself or to a third person. If Sosyopix has to bear any compensation because of this, declares that it will recourse legally to the Member.
3.3. The Member who commits any crime or causes material/moral damages or disrupts public order or acts against public morality or disturbs or harass others via Sosyopix mobile app or www.sosyopix.com website will be personally responsible for his/her acts against the law and/or debt and for breaching the contract. The Member has to bear legal and criminal liability personally and therefore will exempt Sosyopix from legal and criminal consequences arising from these illegal actions, in all circumstances. In this context, if Sosyopix has to bear any compensation it reserves its right of recourse and right to compensation arising from violating this Membership Agreement.
3.4. The Member will be personally responsible for his/her actions for violation of one or more articles of this Membership Agreement or for any violation of copyrights via Sosyopix mobile app or www.sosyopix.com website or for making difficult via trojan, virus, etc. for others to use these services or for unauthorized access to other internet user’s software or data or for any other disagreement. The Member undertakes that he/she will not share his/her username or password with third parties. The Member is responsible for any damage arising from this kind of unauthorized sharing. Further, it’s not allowed to log-in with someone else’s username and password and it’s not allowed to unauthorized access and to use others’ personal information. The Member is personally responsible for these breaches of contract and/or illegalities and will exempt Sosyopix from consequences of those breaches of contract and/or illegalities. Furthermore, because of these breaches of contract and/or illegalities Sosyopix reserves its right to claim compensation from the Member for violation of this Membership Agreement.
3.5. Sosyopix, if necessary, has the right of unilaterally erasing the membership of the Member and erasing the files, the documents and information of the Member which restored within the scope of Privacy Policy. Except for the right to information, the Member accepts, declares and undertakes that he/she will not make any claim.
3.6. Design and software of Sosyopix mobile app and www.sosyopix.com website are owned by Sosyopix and related copyrights and/or intellectual property rights protected by copyright laws and other legislation. These copyrights and/or intellectual property rights cannot be used, changed or acquired without permission. Products owned by other natural or legal person on Sosyopix mobile app or www.sosyopix.com website trademarked to their owner and protected by copyright law. The Member accepts, declares and undertakes that he/she will not violate his/her liabilities arising from this Membership Agreement and related legislation.
3.7. All the designs that produced by Sosyopix are Sosyopix’s intellectual and industrial properties. The Member accepts, declares and undertakes that he/she will not use these designs for commercial purposes without prior permission.
3.8. Sosyopix takes necessary precautions for Sosyopix mobile app or www.sosyopix.com website to be free from viruses and similar malwares. Besides it’s necessary to have an anti-virus program for the Member to protect himself/herself continuously. The Member accepts, declares and undertakes when he/she log-in to Sosyopix mobile app or www.sosyopix.com website he/she will be responsible for all errors and their direct/indirect consequences that may occur due to device, software and operating systems.
3.9. Sosyopix reserves the right of changing of Sosyopix mobile app’s or www.sosyopix.com website’s content and the right of changing or termination of any services provided for the members and users in anytime. Besides Sosyopix reserves the right of erasing members’ personal data that restored within the scope of Privacy Policy.
3.10. Sosyopix reserves the right to make amendments in this Membership Agreement. The Member accepts, declares and undertakes that he/she will read this Membership Agreement in his/her next visits for being informed from these amendments.
3.11. Sosyopix can amend, update or annul the terms of this Membership Agreement in any time without the need of a prior notification or a warning. Any provision that amended, updated or annulled, will be binding for all members from the moment Membership Agreement is published on www.sosyopix.com website that includes related amendment.
3.12. Parties accept and declare that all of the computer logs belong to Sosyopix will be deemed as evidence within the scope of HMK art. 193 and these logs are evidence contract.
3.13. If there is any difference between this Membership Agreement and Turkish version of Membership Agreement, Turkish version of Membership Agreement shall be deemed as valid.
4. Renunciation of Agreement
This Agreement remains in force until the Member terminates his/her membership or Sosyopix terminates the Member’s membership. If the Member violates any provision of this Membership Agreement, Sosyopix will be able to unilaterally renounce this Membership Agreement. In this case, membership link will also be terminated and the Member will lose his/her membership title with all rights and authorizations of this membership title on www.sosyopix.com website.
5. Settlement of Disputes
İstanbul Anadolu Courts and İstanbul Anadolu Enforcement Offices have jurisdiction for any disputes arising from this Membership Agreement.
6. Execution
By creating an account, the Member declares that he/she read and accepts this Membership Agreement and all of the provisions in it. Parties accept, declare and undertake that this agreement signed at the same time with the member created his/her account and entered into force mutually.
